Terms and Conditions

1. Acceptance of terms

By accessing and using the Nudev Studios website ("the company", "we") and/or hiring our software development, design, digital consulting and related services, you agree to comply with these Terms and Conditions in full. If you do not agree with any of these terms, we recommend that you do not use our services.

2. Services

Nudev Studios offers professional services including, but not limited to:

• Web and mobile application development
• User interface (UI) and user experience (UX) design
• Custom business software development
• Implementation of artificial intelligence tools
• Cloud and DevOps services
• Digital marketing and technology consulting
• Application maintenance and technical support

The specific scope, deliverables, timelines and costs of each project will be defined in an individual proposal or contract agreed by both parties before work begins.

3. Quotes and estimates

Quotes provided are estimates based on the client's initial requirements. The final price may vary if the project scope changes during development. Any significant change in requirements will be communicated and must be approved in writing before proceeding. Quotes are valid for 30 calendar days from issue, unless otherwise stated.

4. Payments

Payment terms will be set in each project's contract or proposal. As a general guideline:

• A 50% deposit is required to start the project, unless otherwise agreed
• The remaining 50% is due at final delivery or according to agreed milestones
• Payments may be made by bank transfer or other agreed methods
• Invoices unpaid after 15 days will accrue late-payment interest

Nudev Studios reserves the right to suspend work on any project with outstanding payments until they are settled.

5. Intellectual property

5.1 Client's: all content, materials, logos, text and information provided by the client remain the client's property.

5.2 Project's: once the project has been paid in full, the client will receive ownership of the rights to the source code and digital assets developed specifically for their project, unless otherwise agreed in the contract.

5.3 Nudev Studios': we reserve the right to use our own internally developed tools, frameworks, libraries, reusable components and methodologies. These are not transferred to the client and remain the property of Nudev Studios.

5.4 Portfolio: Nudev Studios reserves the right to showcase the completed project in its portfolio and marketing materials, unless the client expressly requests otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential all sensitive information shared during the business relationship, including but not limited to: business strategies, technical data, source code, documentation, databases and any information marked as confidential. This obligation remains in force after the project ends for a minimum of 2 years.

7. Delivery timelines

Delivery timelines will be set in each project's proposal or contract. While we strive to meet agreed timelines, they may be affected by factors such as changes in requirements, delays in the client's delivery of content or materials, or force majeure. Any change to timelines will be communicated to the client in a timely manner.

8. Revisions and changes

Each project includes a reasonable number of revision rounds, defined in the corresponding proposal. Requests for additional changes beyond the original scope may incur additional costs and extend delivery timelines. Any out-of-scope change must be approved in writing before implementation.

9. Warranty and support

Nudev Studios offers a 30-day warranty period after final delivery, during which errors or bugs directly related to our development will be fixed at no additional cost. This warranty does not cover:

• New features or changes not included in the original scope
• Issues caused by third-party modifications to the delivered code
• Failures of third-party services (hosting, external APIs, etc.)
• Issues caused by the client's misuse of the software

For support after the warranty period, we offer maintenance plans that can be contracted separately.

10. Cancellation

Either party may cancel a project with at least 15 days' written notice. If the client cancels, work completed up to the cancellation date will be invoiced. Deposits already paid are non-refundable, except for the portion corresponding to work not yet started, at Nudev Studios' discretion.

11. Limitation of liability

Nudev Studios will not be liable for indirect, incidental, special or consequential damages arising from the use or inability to use the developed software, including but not limited to loss of profits, data or business interruption. Our total liability in any case will not exceed the total amount paid by the client for the project in question.

12. Client content

The client is responsible for providing all necessary content (text, images, logos, access credentials, etc.) on time for the project's development. Delays in delivering materials may affect the agreed timelines. The client warrants that they hold the necessary rights to all materials provided.

13. Hosting and third-party services

Unless otherwise agreed, the costs of hosting, domains, SSL certificates, third-party APIs, software licenses and other external services are the client's responsibility. Nudev Studios may advise on and recommend providers, but is not responsible for outages, price changes or policies of third-party services.

14. Force majeure

Neither party will be liable for failures caused by events beyond their reasonable control, including natural disasters, pandemics, armed conflicts, technology infrastructure outages, cyberattacks or government actions.

15. Changes to these terms

Nudev Studios reserves the right to modify these Terms and Conditions at any time. Changes take effect upon publication on this website. For ongoing projects, the terms agreed in the individual contract prevail over any later change.

16. Governing law

These Terms and Conditions are governed by and interpreted in accordance with the applicable laws of the jurisdiction where Nudev Studios operates. Any dispute will be submitted to the competent courts of that jurisdiction.
